Majority of shares of PagesJaunes sold to Mediannuaire

As already announced in July, on October 11, Mediannuaire, a company controlled by affiliates of Kohlberg Kravis Roberts & Co. (“KKR”) and Goldman Sachs Capital Partners (“GS Capital Partners”), has acquired 54% of the share capital and voting rights of PagesJaunes Groupe SA from France Télécom, at a price of €22.0 per share. This acquisition follows the announcement on July  24, 2006 of exclusive negotiations between KKR and France Télécom for the potential acquisition of its stake in the Company.

At a meeting of the Board of Directors of PagesJaunes Groupe SA the next day, the new board was announced. It is chaired by Jacques Garaïalde, will include, in addition to Michel Datchary, CEO of the Company, Ahmet Faralyali representative of Mediannuaire, Mattia Caprioli, Reinhard Gorenflos and Johannes Peter Huth from KKR, Hugues Lepic from GS Capital Partners, Abeille Deniau employee representative, Elie Cohen, François de Carbonnel and Rémy Sautter independent directors, and Jean-Claude Marceau from PagesJaunes’ employee mutual fund.
